Leadership Due Diligence ▸

When you invest, you need to know whether the leadership team can deliver on the value creation plan.

Veraxis helps investors and M&A advisors evaluate the leadership team, management strength and decision dynamics behind a target company before or after closing the deal.

We turn structured interviews, psychometric insights and deal experience into clear conclusions you can act on.

01 - DEFINITION ▸

Leadership Due Diligence assesses whether the leadership team, the management team below them, and the way decisions get made are strong enough to deliver on the value creation plan.

02 - THE RISK GAP ▸

Veraxis identifies leadership risks that traditional due diligence workstreams do not test.

Financial, legal and commercial risk are tested with rigour. Leadership often is not. Yet the people expected to deliver the plan are still assessed largely through management presentations, references and prior exposure.

What usually gets tested:

▸ Financial due diligence

Cash flow, EBITDA, working capital

✅ Assessed

▸ Legal due diligence

Contracts, liabilities, IP, compliance

✅ Assessed

▸ Commercial due diligence

✅ Assessed

Market size, competitive position

📍Untested

▸ Leadership due diligence

Executive capability, management depth, execution risk

Material risk!

▸ Leadership is not a soft topic!

Research cited by Harvard Business Review shows that leadership can have a major impact on company performance:

about 10 to 15% of financial performance, and 25 to 30% of market value.

03 - WHEN TO CALL VERAXIS ▸

When leadership risk is the highest….

Some deal contexts make the gap between the management presentation and operating reality harder to see. In these situations, leadership due diligence is not additional comfort. It is part of understanding the investment risk.

04 - WHAT VERAXIS DOES ▸

What we test and what you get.

Veraxis uses structured leadership competency-based interviews, psychometric assessments and management system reviews to build an evidence-based view of the team behind the deal. We do not deliver a generic leadership report.

We show where the team is strong, where execution risk sits, and what needs attention from Day 1.

WHAT VERAXIS TESTS

  • Leadership capability and leadership risk

  • Founder dependency and key person risk

  • Management depth below the C-suite

  • Decision dynamics and governance

  • Execution capacity under pressure

  • Transition and integration readiness

WHAT YOU GET

  • Leadership risk memo

  • Team risk heat map

  • Founder dependency assessment

06 - RED FLAGS ▸

The warning signs are usually detectable before the deal closes.

They are just not always read as value creation risks. These patterns recur in deals where leadership later becomes the reason execution stalls, value erodes or the 100 day plan loses momentum.
